These terms are an agreement between you and ECLACTRA™ covering your use of this website. By browsing it, sending us a message, subscribing to the newsletter, or booking a session through it, you accept them. If you do not accept them, please do not use the site.
What this site is
https://eclactra.com is an informational site describing what ECLACTRA™ builds and how we work: our products, our solution pillars, the industries we serve, fractional executive leadership, and our published Insights.
Nothing on it is an offer, a quotation, or a commitment to deliver anything. Actual work is governed by a separate written agreement - a proposal, statement of work, or master services agreement - signed by both sides. Where such an agreement covers the same subject, it controls, and these terms only govern your use of the website.
Who may use it
You must be at least 16 and able to form a binding contract where you live. If you use the site or send us an enquiry on behalf of an organisation, you confirm you are authorised to do so and that the organisation is bound by these terms.
Forward-looking and illustrative content
Some of what this site shows is a plan or an illustration rather than a fact about today. Specifically:
- Products marked "coming soon" or "in development" are roadmap items. Their features, availability, and timing can change or be dropped, and nothing here is a promise of a release date.
- The case studies are composite, illustrative examples representative of our engagement pattern. They are not named client accounts, and they are not a prediction that your engagement will produce a comparable outcome.
- Figures, timelines, and outcomes shown anywhere on the site are indicative. Real numbers depend on your data, systems, team, and constraints.
- Insights articles are general commentary. They are not professional, legal, financial, medical, or engineering advice for your situation, and you should not act on them without advice that accounts for your circumstances.
Acceptable use
Use the site lawfully and in good faith. You agree not to:
- Probe, scan, or test the security of the site or its infrastructure, or try to gain access to anything you have not been given access to, without our prior written permission.
- Interfere with the site's operation - including scraping or crawling at a rate that degrades it for anyone else.
- Carry out automated bulk extraction of the site's content, including for training machine-learning models, without our prior written permission.
- Submit malware, spam, or another person's personal data through any form on the site.
- Misrepresent who you are or imply an affiliation, partnership, or endorsement that does not exist.
- Use our content or branding in a way that suggests we produced, sponsored, or approved something we did not.
If you breach this section we may restrict or block your access to the site, without notice where the circumstances call for it.
What you send us
You keep ownership of everything you send through the site. You grant us a non-exclusive, worldwide, royalty-free licence to use it for the purpose you sent it - responding to you, scoping the work, and keeping the records that come with running a business.
Treat a web form as a non-confidential channel. Until a confidentiality agreement is in place, please do not send us anything you need protected; tell us it exists and we will arrange a proper channel for it.
If you send us feedback, ideas, or suggestions about our products or this site, we may use them freely and without obligation, payment, or attribution.
Intellectual property
The site and everything in it - text, design, layout, code, graphics, and illustrations - belong to ECLACTRA™ or our licensors and are protected by copyright and other laws. The marks ECLACTRA™ and Eclectic Actions Trajectory are ours, as are the product names Acrevo™, Muslehat™, GeoVision™, Synapse AI™, Amicus Ally™, Trajector Analytics™, Industria IQ™, TwinScape™, Medisphere™, EduNexus™, Immersa XR™.
You may read, share, and quote from the site normally: link to it, and quote a reasonable extract with attribution. You may not copy or republish substantial portions of it, create derivative works from it, use it commercially, or strip out any notice of ownership, without our written permission.
Third-party services and links
The booking dialog embeds a third-party scheduling service, and some pages link out to sites we do not run. Those services have their own terms and privacy policies, which apply to you when you use them. We do not control their content or availability and are not responsible for either.
No warranty
The site is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the site will be uninterrupted, error-free, or free of harmful components, or that its content is complete, current, or accurate. Technical and market content ages quickly; check anything you intend to rely on.
Limitation of liability
To the maximum extent permitted by law, ECLACTRA™ and its people will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, lost revenue, or business interruption, arising out of or connected with your use of this site - whether or not we were told such damages were possible.
Our total aggregate liability for all claims relating to this site is limited to one hundred US dollars (USD 100). This section governs the website only; liability under a signed engagement is set by that agreement.
Nothing here excludes or limits liability that cannot lawfully be excluded, including for fraud or fraudulent misrepresentation, or for death or personal injury caused by negligence. Some jurisdictions do not allow certain exclusions, in which case the limits above apply only as far as that jurisdiction permits.
Indemnity
You agree to indemnify ECLACTRA™ against claims, losses, and reasonable legal costs arising from your misuse of the site, your breach of these terms, or your violation of any law or third-party right.
Privacy
What we collect through this site, why, and what you can ask us to do about it is set out separately.
Changes
We may change, suspend, or discontinue any part of the site at any time, and we may update these terms. The date at the top reflects the current version. Where a change materially affects your rights, we will say so on this page. Continuing to use the site after a change means you accept the updated terms.
Governing law and disputes
These terms, and any dispute arising out of them or your use of the site, are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules. You and we agree to the exclusive jurisdiction of the state and federal courts located in Delaware. If you are a consumer resident elsewhere, you keep the benefit of any mandatory protections of your local law.
The exclusive-jurisdiction clause above does not stop either of us from bringing an individual claim in a small-claims court that has jurisdiction, or from seeking an injunction or other equitable relief in any court of competent jurisdiction to protect intellectual property or confidential information.
Before filing anything, please email hello@eclactra.com and describe the problem. Most disputes are a misunderstanding, and we would rather resolve it than litigate it.
General
- If any provision is held unenforceable, the rest stays in force and the unenforceable part is narrowed only as far as necessary.
- Not enforcing a provision on one occasion does not waive it later.
- Neither side is liable for a failure or delay caused by something outside its reasonable control - for example a hosting or network outage, a third-party service failure, a natural event, or an act of government.
- These terms, together with the Privacy Policy, are the entire agreement between us regarding this website.
- You may not assign these terms; we may assign them as part of a merger, acquisition, or sale of assets.
- Headings are for convenience and do not affect interpretation.
